Italian restaurant operator Individual Restaurant Company (IRC) is quitting AIM following a bout of director buying that has resulted in the board acquiring more than 75 per cent of the shares.

This April W2D2 Limited - a consortium run by ex-broker and CEO Steven Walker together with Malcolm Walker- the founder of the Iceland supermarket chain, former Iceland finance director Tarsem Dhaliwal and IRC shareholder Paul Dawes announced that it was making an offer of 9.5p a share, valuing the company at £5.67 million.

Since then W2D2 have embarked on a bout of buying to reach the 75 per cent required to force unconditional acceptance, reaching a total of 75.77 per cent and forcing minority shareholders to accept any resolutions. In April W2D2 said it was making the offer 'to help take IRC back to growth' with the company arguing that 'the current bank facility does not have sufficient headroom to allow additional capital expenditure.'

The company has had a torrid few years. In 2007 the shares traded just short of 150p but a tough recession led to a slump in the shares, which have lost over ninety per cent of their value. In its last results for the year to December 2010 IRC reported a widening in losses from £872,000 to £1.7 million on sales that fell by £2 million to £51.3 million.

IRC trades from 33 casual dining restaurants under the brands Piccolino and Bar and Grill. Recent trading has proved positive with like for like sales growth in the current year, however this has largely been eroded by cost inflation.
